Indicative Experience

Middle East: Managed the incorporation of companies in the Middle East, handled change of trade names and renewal of licences, drafted partnership and management agreements, board resolutions, executive services agreements, asset acquisition agreements and share transfer agreements for clients in various industries.

Middle East: Advised clients from various sectors on the protection, prosecution and enforcement of hard and soft IP rights, managed, supervised and executed IP enforcement related operations in the GCC countries and negotiated co-existence, dispute resolution and out of court settlements.

Thailand: Advised a major insurance company on liability under PAR policies following the 2011 Thai floods.

Myanmar: Advised Consumer Goods Myanmar in the sale of the “Laser” brand of toothpaste to Colgate Palmolive (transaction value circa USD 100 M).

Myanmar: Advised ED&F Man in its Joint Venture negotiations with YOMA Strategic Holdings Limited, for the establishment of a coffee products joint venture in Myanmar.

South Africa: Drafted and finalised merchant acquiring agreements for a bank’s credit card division.

Africa: Regulatory overviews for capital markets transactions covering operations in Burkina Faso, DRC, Gabon, Kenya, Malawi, Niger, Republic of Due Congo, Sierra Leone, Sudan, Tanzania, Chad, Uganda and Zambia.

Middle East: First Gulf Bank / National Bank of Abu Dhabi: USD130m corporate financing for a Mubadala portfolio company. Lead negotiations and review of Iran sanctions provisions.
