Wachirasasn is a legal director at BH2I with a demonstrated history of working in commercial real estate transactions and all foreign direct investment in Thailand.

In a decade plus of experience as a legal practitioner, he has worked in private practice and in-house in a wide range of foreign direct and indirect investment, commercial, corporate, and real estate laws with a particular focus on M&A, capital raisings, board disputes, shareholder activism, real estate investment, project development, and corporate transactions.

Wachirasasn has strong experience across a wide range of residential developments, factories, hotels, logistics, construction companies, power plants and private schools.

His experience includes undertaking complex overseas financing and transactions for multi-billion-dollar property projects, and advising on investment throughout Thailand.

Indicative Experience

China: Advised a Thai company in regards to construction agreements, development of a hotel and cultural centre in Zhou Zhuang Province, the People’s Republic of China.

Thailand: Advised various top leading hotel brands in connection with hotel sites and KYC due diligence, including advice involved in creating thargest e world’s largest hotel operating company.

Thailand: Represented a leading Chinese SOE Bank in connection with finance projects in Thailand.

Thailand: Supported two major online game and mobile video companies during their investment expansion in Thailand.

Thailand: Advised numerous well-known developers in connection with due diligence, contract drafting and negotiations with hotel operators for development of various hotels in Thailand.

SEA: Implemented M&A projects and advised on the acquisition of the biggest Thai In-Vitro Fertilisation (IVF) business.

SEA: Provided legal analysis on a build-operate-transfer structure and created templates of shareholders agreement, management services agreement and other agreements for a leading regional real estate company.

Thailand: Provided legal analysis on foreign direct investment with respect to the laws on foreign business, investment promotion and negotiations with industrial estate authority.

SEA: Restructured various companies to reflect the economic interests of the ultimate shareholders; including M&A implementation.

Thailand: Advised clients on invested capital either in the form of capital market financing or debt market products; including advice on the spin-off of a listed company and initial public offering of Thai and foreign companies, prepared related documentation, and drafted disclosures, minutes and initial public offering prospectus.

SEA: Represented various real estate companies during the entire project cycle, including formation and development of the business, due diligence support and project closing or disposition.

Thailand: Advised on development of factories, hotels, theme parks, fitness centers, golf courses, logistics companies, construction companies, power plants and private schools.

SEA: Drafted due diligence reports for M&A transactions and prepared legal opinions on all legal aspects of transactions, including metal factories, mining, transformed timber, logistics, telecommunications, and trading businesses.

Thailand: Analysed legal issues and provided legal advice, guidance and consultation to management committees.

Thailand: Liaised with top management of Thai government to implement client legal compliance.

Thailand: Acted as a company secretary and liaison with SET and SEC for all related public company matters.

Thailand: Prepared business plans and applications for the Foreign Business License and prepared applications for Investment Certificates.

Thailand: Created standard forms for a securities company for securities trading, borrowing and lending accounts in compliance with the rules and regulations of the Securities and Exchange Commission and the Stock Exchange of Thailand.

Thailand: Prepared documents and applications for the issuance of public shares and acted as the secretary of both limited companies and public companies.
